These Terms of Use (the "Terms") are an agreement between you and Ernesto F. González ("Archivero", "we", "us" or "our"). They govern your use of our website at archivero.net (the "Site"), the Archivero reference manager and any related applications, integrations and services (together, the "Service"), and our waitlist, early access program, community spaces, newsletters and ambassador program.
By joining the waitlist, creating an account, or otherwise using the Site or Service, you agree to these Terms and acknowledge our Privacy policy. If you do not agree, do not use the Site or Service.
If you use the Service on behalf of an organization, such as a university, library or lab, you confirm that you have authority to bind that organization to these Terms, and "you" includes that organization.
1. Eligibility
You must be at least 16 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.
2. Early access
The Service is currently offered as early access. By participating, you understand and agree that:
- Invitations come in waves. Joining the waitlist or requesting early access does not guarantee an invitation or any particular timing. We decide who is invited to each wave at our discretion, as described in our Privacy policy.
- The Service is still in development. Features may be incomplete, change, or be removed, and the Service may contain bugs, experience downtime or lose data. Keep your own backup of important references and files, particularly during early access.
- No launch commitments. We have not committed to a date for a general or open release of the Service, or to any particular features, pricing or availability in a future release. Anything we say about future plans describes our current intentions, not a promise.
- We may limit or end early access. We may limit the number of users, suspend access, or end the early access program at any time. Where reasonably possible, we will give you notice and an opportunity to export Your Content.
- Feedback helps us. We may ask you to share feedback, take part in surveys or join calls. Participation is voluntary.
3. Your account
You are responsible for the information you give us, for keeping your password secure, and for all activity under your account. Tell us promptly at support@archivero.net if you believe your account has been accessed without permission. You may not share your account credentials or create accounts using automated means.
4. Your content
4.1 You own your content
"Your Content" means the references, libraries, collections, tags, notes, annotations, PDFs and other files and materials you import, upload, create or share through the Service. You keep all rights in Your Content.
4.2 The license you give us
You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display and adapt (for example by reformatting citations or generating previews) Your Content only as needed to provide, secure, support and improve the Service for you and the people you share it with. This license ends when Your Content is deleted from the Service, except for backup copies that are deleted in the ordinary course and any content you shared that others have already copied.
4.3 Your responsibilities
You confirm that you have the rights needed to upload and share Your Content, including any PDFs or other copyrighted works, and that doing so does not violate the law, a publisher's or database's license terms, your institution's policies, or anyone else's rights. You are responsible for any access permissions you grant to collaborators.
4.4 Shared libraries
When you share a library, the people you invite can view and, depending on the permissions you set, edit or copy its contents. If you leave or are removed from a shared library, content you contributed may remain in it. The owner of a shared library controls who has access to it.
4.5 Export and deletion
You may delete Your Content at any time. Export to standard bibliographic formats such as BibTeX, RIS and CSV is not yet available in the Service during early access; until it is, write to support@archivero.net and we will send you a copy of your library. When you delete your account, we delete Your Content as described in our Privacy policy.
5. Acceptable use
You agree not to, and not to help others to:
- break any law or infringe anyone's intellectual property, privacy or other rights;
- upload or distribute content you do not have the right to share, including using shared libraries to distribute copyrighted works in breach of license terms;
- upload malware or anything designed to harm the Service or other users;
- access or attempt to access accounts, data or systems you are not authorized to access, or probe, scan or test the vulnerability of the Service without our written permission;
- interfere with or disrupt the Service, or place an unreasonable load on our infrastructure;
- scrape, crawl or extract data from the Service by automated means, except through features or APIs we provide for that purpose;
- reverse engineer, decompile or copy the Service, except where the law expressly allows it;
- use the Service to build a competing product, or to benchmark it for publication without our consent;
- resell, sublicense or provide the Service to third parties except as permitted by us;
- harass, abuse, impersonate or mislead anyone, or post spam, in the Service or in our community spaces; or
- use referral links, ambassador perks or promotions in a fraudulent or misleading way.
6. Community spaces
Our Discord server and other community spaces have their own rules, which form part of these Terms. Posts in community spaces are public to other members. We may moderate, remove content from, or restrict access to community spaces at our discretion. Our team members post from clearly labeled Archivero accounts.
7. Citations and AI
The Service helps you format citations and bibliographies, but citation styles, journal requirements and institutional rules vary and change. You remain responsible for the accuracy of your references and for complying with the academic integrity rules that apply to you.
Where a feature is powered by artificial intelligence, its output can be inaccurate, incomplete or inconsistent with a citation style or source. You are responsible for checking AI output, including citations, quotations and bibliographic details, before relying on it in your academic or professional work. Content you submit to AI features is handled as described in our Privacy policy.
8. Feedback
If you give us suggestions, ideas, bug reports or other feedback, you allow us to use them for any purpose without restriction or payment to you. We will not publicly identify you as the source of feedback without your permission.
9. Third-party services and imports
The Service may let you import from, export to, or connect with third-party products and services, such as other reference managers, word processors, cloud storage or publisher websites. Your use of those services is governed by their own terms, and we are not responsible for them. We may not support every third-party format or feature, and imports may not preserve all data perfectly.
10. Fees
The Service is currently free during early access. We may introduce paid plans or features in the future. We will not charge you without first telling you the price and getting your agreement, and any paid plans will be subject to additional terms presented at purchase.
11. Ambassador program, referrals and promotions
The ambassador program, referral links, survey raffles, contests and other promotions may be subject to additional rules that we publish or send to you. If those rules conflict with these Terms, the additional rules apply to that program or promotion. We may change or end any program or promotion at any time, subject to applicable law. Ambassadors and creators must follow applicable advertising disclosure rules, such as clearly disclosing their relationship with Archivero when posting about us.
12. Our intellectual property
The Site and Service, including their software, design, text, graphics, logos and the Archivero name, belong to Archivero or our licensors and are protected by intellectual property laws. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own research, study or professional work. You may not use our name, logos or trademarks without our prior written permission, except as permitted in our ambassador materials or brand guidelines.
13. Copyright complaints
We respect intellectual property rights. If you believe content in the Service infringes your copyright, send a notice to support@archivero.net including:
- your physical or electronic signature;
- identification of the copyrighted work you believe is infringed;
- identification of the material you claim is infringing and information reasonably sufficient for us to locate it;
- your contact information;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
We may remove material in response to valid notices and terminate the accounts of repeat infringers.
14. Suspension and termination
You may stop using the Service and delete your account at any time.
We may suspend or terminate your access to the Service if you breach these Terms, if required by law, if your use creates risk or harm for us or others, or if we end the early access program or discontinue the Service. Where reasonably possible, we will give you notice and an opportunity to export Your Content, unless doing so would create a legal or security risk.
Sections 4.2 (to the extent needed to complete deletion), 4.3, 8, 12, 15, 16, 17, 18 and 19 survive termination.
15. Disclaimers
THE SITE AND SERVICE, INCLUDING ALL EARLY ACCESS FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DATA WILL NOT BE LOST, OR THAT CITATIONS, FORMATTING OR AI OUTPUT WILL BE ACCURATE OR MEET ANY PARTICULAR STYLE, JOURNAL OR INSTITUTIONAL REQUIREMENT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARCHIVERO AND ITS OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL OR ACADEMIC OR PROFESSIONAL OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) USD 100.
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence. If you are a consumer in the EEA or UK, you also keep the statutory rights you have under local consumer law.
17. Indemnity
To the extent permitted by law, you agree to defend, indemnify and hold harmless Archivero and its officers, employees and contractors from any claims, losses and expenses (including reasonable legal fees) arising from Your Content, your breach of these Terms, or your violation of any law or third-party right.
18. Governing law and disputes
These Terms are governed by the laws of Portugal, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Setúbal, Portugal, and you and we consent to the personal jurisdiction of those courts.
Before filing a claim, please contact us at support@archivero.net so we can try to resolve the issue informally.
If you are a consumer living in the EEA, the UK or another jurisdiction that gives you the right to bring claims in your local courts or under your local law, nothing in this section takes that right away.
19. General
- Changes to these Terms. We may update these Terms from time to time, for example as the Service moves beyond early access. We will post the updated Terms on this page and change the "Last updated" date. If a change is material, we will notify you by email or in the Service before it takes effect. By continuing to use the Service after changes take effect, you accept the updated Terms.
- Changes to the Service. We may modify, add or remove features of the Service at any time.
- Entire agreement. These Terms, together with our Privacy policy and any additional rules referenced in them, are the entire agreement between you and us about the Site and Service.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours in connection with a merger, acquisition, reorganization or sale of assets.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Notices. We may send you notices by email to the address associated with your account or waitlist signup, or by posting them in the Service.
- Export control. You may not use the Service in violation of applicable export control or sanctions laws.
